General Sales Conditions §1 General conditions - Area of Application (1) Our sales conditions apply exclusively; customer sales conditions which are contradictory or deviating from our sales conditions will not be recognized, unless specifically agreed to by us in writing. Our sales conditions also apply in the event of unconditional shipment and/or delivery of the order, even if we have knowledge of the fact the customer's conditions deviate or contradict our sales conditions. (2) All agreements between us and the customer regarding implementation i.e. carrying out of the contract, must be contained within the written contract. (3) Our sales conditions apply to businessmen as defined in § 24 of AGBG only. §2 Quotations - Quotation Documents (1) Unless stated otherwise, documents associated with the quotation such as drawings, pictures, measurements and weights are approximated only. We reserve the right of ownership and patent rights on all quotations, drawings and other documents. They must not be made accessible to third parties. §3 Prices - Conditions of Payment (1) Unless otherwise stated in our written acknowledgement of the order, prices are quoted with respect to our business address ("parts department Ahrensburg" i.e. "from quay Hamburg") without packing costs and insurance fees. These costs and fees will be charged separately. (2) Quoted prices are without value added tax. This tax will be separately listed on the invoice in accordance with the tax regulations valid at the date of invoice. (3) Cash discounts are subject to special written agreement. (4) Net payment is due without any deductions within 30 days of invoice. Default in payment entitles us to charge interest in the height of 4 % p.a. above the current discount rate of the Deutsche Bundesbank. If we can prove losses in excess of this amount, we are entitled to claim them. However, the customer is entitled to submit proof that his default in payment did not result in any damages to us, or that the resulting damages are far below the above mentioned interest rate. (5) The customer is entitled to offset rights only when these offset rights are legally valid, undisputed or agreed to by us. He is also authorized to exersize his right of reservation or retention to the degree that his counter-claim is subject to the same contract condi- §4 Delivery Time (1) The delivery time (date) stated by us takes for granted that all technical questions have been satisfactorily answered and coordinated. (2) Failure on our part to deliver within the specified time entitles the customer to compensation deductions. The deductions are limited to 0,5 % of the delivery value per each full week of delivery delay or a maximum of 5 % of the order amount.
